Arty Studio End User License Agreement
Version: 2026-10-19.2 · Draft — pending legal review
This End User License Agreement (the "Agreement") is between the person using the Arty Studio desktop application, its updates and documentation (the "Software") ("User" or "you") and the owner of the Software, Artun Cingöz (ArtyDigital) (Yeni Bağlıca Mah. 1350 Sk. Park Ladin Evleri No: 2C İç Kapı No: 34, Etimesgut / Ankara, Türkiye; Etimesgut V.D. 2111201431; info@artydigital.com.tr) ("Licensor"). By installing, activating or using the Software you accept this Agreement. If you don't accept it, don't use the Software.
1. Definitions
- License key: The unique code emailed to you after purchase, belonging to that purchase only.
- Plan: The type of license you bought — monthly subscription, yearly subscription or lifetime license.
- Device: A single computer on which the Software is installed and activated with a license key.
- Generation: Images, video, audio, text and similar output obtained from third-party AI services through the Software.
2. Purchase and seller
Licenses are sold through our payment provider, acting as the seller (Merchant of Record). Payment, invoicing, tax (VAT/sales tax) and payment data are handled by the payment provider under its own terms; your card details never reach the Licensor. Use of the Software is governed by this Agreement.
3. Grant of license
For as long as your plan is valid, the Licensor grants you a non-exclusive, non-transferable, non-sublicensable right to use the Software for personal or commercial purposes. The Software is licensed, not sold; all rights not expressly granted here remain with the Licensor.
4. License key and devices
- Every purchase generates a unique license key for one natural person. The key is personal: it may not be shared, sold, rented or published.
- A key may be active on at most 2 devices at a time, and only the key's owner may use them. Each person on a team needs their own license.
- When switching devices, you can free the old device's seat from inside the Software ("Remove from this device").
- The Software validates your license online at activation and about once a day afterwards. If validation can't happen for 7 days, the Software locks until it can connect.
- If there is reasonable indication that a key has been shared, leaked or misused, the Licensor may suspend or revoke it. You will be told by email first and given a chance to explain; a key leaked through no fault of yours is replaced free of charge.
5. Plans, renewal and cancellation
- Monthly and yearly subscriptions: Renew automatically at the start of each period and are charged to your saved payment method. You can cancel any time; cancellation takes effect at the end of the paid period, and the Software stays unlocked until then. If payment fails or the subscription ends, the license ends and the Software locks.
- Lifetime license: A one-time payment grants the right to use major version 1.x of the Software and every update released for it, without time limit. A future major version (e.g. 2.0) may be charged separately; you can keep using the version you have. "Lifetime" refers to the life of that major version, not a promise of indefinite support or indefinite compatibility with third-party services.
- Price changes: If a subscription price changes, you'll be told by email at least 30 days in advance and the new price applies from the first renewal after that notice. If you don't accept it, you can cancel before the renewal.
6. Refunds and right of withdrawal
- The license key is delivered electronically right after payment. Under article 15/1-(ğ) of the Turkish Distance Contracts Regulation, there is no statutory right of withdrawal for services performed instantly online or intangible goods delivered instantly; you confirm this at checkout. For consumers in the European Union, starting delivery of digital content with your express consent likewise ends the right of withdrawal.
- Even so, the Licensor voluntarily offers this refund: within 14 days of your first purchase (the first subscription payment or a lifetime license) you can ask for a full refund, no reason needed. Renewal payments are not refunded; cancel the subscription to stop future charges.
- Refunds are requested through the payment provider (the link in your order email, or info@artydigital.com.tr) and paid back to your payment method. The license key of a refunded purchase is disabled.
- Your statutory consumer rights regarding defective software are unaffected.
7. Restrictions
Except where applicable law or the open-source licenses in section 11 expressly allow it, you may not:
- Copy, distribute, sell, rent, lend or offer the Software as a service to others,
- Circumvent or disable the license check, generate license keys, or distribute tools that do,
- Reverse engineer, decompile or disassemble the Software,
- Remove copyright, trademark or license notices from the Software.
You may keep a copy of the installer for backup.
8. Third-party services and API keys
- The Software connects to third-party services such as Higgsfield, Google Gemini, OpenAI, ElevenLabs and Anthropic with your own accounts and API keys. These services are not controlled by the Licensor; their fees are billed to you directly and their own terms of use and content policies apply. Complying with them is your responsibility.
- The license fee does not cover generation costs. Estimated and actual costs shown in the Software are informational; the exact amount is the provider's invoice. Spend limits are a convenience, not a guarantee.
- If a provider changes or withdraws a service, model or price, the related feature may stop working. The Licensor will make reasonable efforts to ship compatibility updates but does not guarantee the continuity of third-party services.
9. Acceptable use
You may not use the Software to:
- Use or imitate a real person's likeness, face or voice without their permission,
- Produce fake content meant to mislead people (deepfakes), fraud or disinformation,
- Produce sexual content involving children, hate speech, harassment or any illegal content,
- Infringe anyone's copyright, trademark, personality or privacy rights,
- Violate the rules of the third-party services you use.
Tools such as "Mask face" are only for yourself or people who have given permission, and for reference use without transferring identity.
10. Generations and your content
- The Licensor claims no rights in files you upload to the Software or content you generate; they stay on your computer and are not sent to the Licensor. Your rights in generations are subject to the relevant provider's terms and applicable law; AI output is not guaranteed copyright protection in every country.
- AI output can be wrong, unexpected or similar to others' work. Checking it before publishing, and responsibility for how you use your generations, are yours.
11. Open-source components
The Software includes open-source components distributed under their own licenses (e.g. FFmpeg under the GNU LGPL v2.1, libvips, Electron). For those components, the terms of the relevant open-source license take precedence over this Agreement. In particular, you may modify the LGPL-licensed libraries, replace them with a version you build yourself, and reverse engineer to the extent needed to debug such modifications; the restrictions in section 7 don't limit these rights. License texts are in the app under "File → Open source licenses"; source code is published on the download page.
12. Agents that run code
The AI agent in the Motion module runs commands and code on this computer to produce motion films. Writes are limited to the agent's working folder and the temporary folder, and dangerous commands are blocked; still, by using this module you accept this risk. Back up your important data regularly.
13. Updates and support
- The Software may check for and download updates. Updates are covered by this Agreement. The Licensor may add, change or, because of third-party changes, remove features, but won't remove core functionality of a plan you paid for during that plan's term without good reason.
- Support is given with reasonable effort through info@artydigital.com.tr and the in-app "Report an issue" link; no specific response time is promised.
14. Intellectual property
The Software, its source code, design, the Arty Studio name and logo are owned by the Licensor (or its licensors) and protected by intellectual property law. The Licensor may use your feedback and suggestions to improve the Software without any obligation to you.
15. Disclaimer of warranties
The Software is provided "as is" and "as available". To the fullest extent permitted by applicable law, no express or implied warranty is given, including merchantability, fitness for a particular purpose, uninterrupted or error-free operation and non-infringement. This section does not remove your statutory consumer rights regarding defects.
16. Limitation of liability
To the extent permitted by applicable law, the Licensor is not liable for loss of data, lost profits or revenue, third-party service fees, claims arising from the use of generations, or indirect or consequential damages. The Licensor's total liability is limited to the amount you paid for the Software in the 12 months before the event that caused the damage. Liability for intent, gross negligence and any liability that cannot be limited by law is unaffected.
17. Term and termination
This Agreement stays in force until your plan ends. If you materially breach it (in particular sections 4, 7 and 9), the Licensor may end your license by email notice; fees paid are then not refunded. On termination you stop using the Software; the generations and data on your computer remain yours. Sections 10, 14, 15, 16 and 19 survive termination.
18. Changes to this Agreement
The Licensor may update this Agreement. For material changes, the Software will ask you to accept the new terms. If you don't, you can cancel your subscription; a change never retroactively narrows your rights for a period you have already paid for.
19. Governing law and disputes
This Agreement is governed by the laws of the Republic of Türkiye. Consumers may apply to the Consumer Arbitration Committees (within their monetary limits) and Consumer Courts where they live; if you live in another country, that country's mandatory consumer-protection rules are unaffected. For purchasers acting as merchants, the Istanbul (Central) Courts and Enforcement Offices have jurisdiction.
20. Miscellaneous
If any provision of this Agreement is held invalid, the rest remains in effect. Not exercising a right is not a waiver of it. You may not transfer your rights and obligations under this Agreement without the Licensor's written consent. If the Turkish and English texts conflict, the Turkish text prevails.
